Affiliate Program Agreement This Agreement describes the complete terms and conditions that apply to the EuromedOnline Affiliate Program. The terms "Affiliate," "you," and "your" are referring to the Affiliate. "We", "us", "our" and "EuromedOnline" refer to EuromedOnline Limited. PROGRAM ENROLLMENT An affiliate may submit a completed Program application to begin the enrollment process. Submission of your application for enrollment into the Program implies acceptance of the terms set forth in this Agreement. We will evaluate your application in good faith and notify you of its acceptance or rejection. We may reject your application if, in our sole discretion, we determine for any reason that your site is unsuitable for the EuromedOnline Affiliate Program. AGREEMENT DURATION This Agreement will begin on the date we notify you of our acceptance of your Affiliate Application, site and Programs. It will end when terminated by either party. Termination may happen at any time, with or without cause, by notifying the other party in writing by mail, email or fax. We reserve the right to terminate your participation in the Program at any time if we determine, in our sole discretion, that your site is unsuitable for the program. Upon the termination of this Agreement for any reason, you must immediately cease use of, and remove from your Site(s), all links to our Site, and all EuromedOnline trademarks, trade dress and logos, and all other materials provided by or on behalf of us to you in connection with the Program. You are only eligible to earn Referral fees on Qualifying Sales occurring during the term, and fees earned through the date of termination will remain payable only if the related orders are not canceled or returned. In the event overpayment is made by us, you agree to promptly remit such excess payment upon notification by us. We reserve the right to withhold your final payment, in connection with our partner LinkConnector, for a reasonable time to ensure the correct amount is paid. MODIFICATION EuromedOnline may modify any of the terms and conditions of this Agreement at any time and in our sole discretion. You will be notified by email and posting of a change notice on the EuromedOnline Affiliate Program Terms and Conditions on the site, or by such other means as reasonably determined by us. These modifications may include, but will not be limited to, changes in the scope of available commission fees, payment procedures and general Program rules. If any of the modifications are UNACCEPTABLE TO YOU, your sole recourse is to terminate this Agreement. If you CONTINUE YOUR PARTICIPATION IN THE PROGRAM following any change to the terms and conditions of this Agreement, it will be considered as your acceptance of such change. COMMISSION FEES We may pay affiliates, through LinkConnector, a flat fee of $10 for each new patient referred. Patients must be absolute first-time subscribers and must not have accounts under a different name registered in the EuromedOnline site. The New Patient commission is paid out when the new customer makes a first purchase on the EuromedOnline site. Affiliates will also receive 10% commission if the referred visitor completes a sale. In order for sale to generate such commission to an Affiliate, a customer must visit our Site through a link; place an order for a product on the EuromedOnline site; accept delivery of the products at the shipping destination; and remit full payment to us (the “Qualified Sale”). We will not pay Referral Fees on any products that are added to a customer’s shopping cart after the customer has re-entered our Site (other than through a Link), even if the customer previously followed a Link from your site to the EuromedOnline site. Customer Service invoice adjustments and reorders are not eligible to earn Referral Fees. We will not pay Referral Fees or New Patient Commission for any New Customer, or on any sale to a customer, if the customer will be partially or fully reimbursed by a federal insurance program or a private insurance carrier or if we believe such marketing fee would otherwise violate a law as dictated by the governing judicial body of the country where the customer resides. Affiliate commissions will be paid via Link Connector and are only be paid on sales which are made through approved and qualified Affiliates. Commission fees can only be earned between the acceptance of the Affiliate application and notice of termination. You may not purchase medicines during sessions initiated through the links on your site for your own use, for resale or commercial use of any kind. This includes orders for customers or on behalf of customers or orders for products to be used by you or your friends, relatives, or associates in any manner. Such purchases may result (in our sole discretion) in the withholding of referral fees and/or the termination of this Agreement. In addition, you may not: (a) directly or indirectly offer any person or entity any consideration or incentive (including, without limitation, payment of money (including any rebate), or granting of any discount or other benefit) for using Links on your site to register to the EuromedOnline.com Site (e.g., by implementing any "rewards" program for persons or entities who use links on your site to register to the EuromedOnline.com Site); (b) read, intercept, record, redirect, interpret, or fill in the contents of any electronic form or other materials submitted to us by any person or entity; (c) in any way modify, redirect, suppress, or substitute the operation of any button, link, or other interactive feature of the EuromedOnline.com Site; (d) make any orders requests, or engage in other transactions of any kind on the EuromedOnline.com Site on behalf of any third party, or authorize, assist, or encourage any other person or entity to do so; (e) take any action that could reasonably cause any customer confusion as to our relationship with you, or as to the site on which any functions or transactions (e.g., search, order, browse, and so on) are occurring; (f) other than providing links on your site in accordance with this Agreement, post or serve any advertisements or promotional content promoting the EuromedOnline.com Site or otherwise around or in conjunction with the display of the EuromedOnline.com Site (e.g., through any "framing" technique or technology or pop-up or pop-under windows), or assist, authorize, or encourage any third party to take any such action; (g) attempt to circumvent the referral fee schedule or artificially increase your referral fees (e.g. by intentionally featuring, purchasing or requesting or encouraging any third party to purchase low-price items offered on the EuromedOnline.com Site (as determined by us) for the purpose of exceeding any referral fee threshold or by causing any page of the EuromedOnline.com Site to open in a customer's browser other than as a result of the customer clicking on a link on your site); (h) attempt to intercept or re-direct (including, without limitation, via user-installed software) traffic from or on, or divert referral fees from, any web site that participates in the Program; or (i) seek to purchase or register any keywords, search terms or other identifiers that include the word "EuromedOnline" or variations thereof for use in any search engine, portal, sponsored advertising service or other search or referral service. From time to time we may request that you cause any applicable Web search provider to exclude Proprietary Terms from keywords used to display your advertising content in association with search results, assuming the provider of such Web search engine offers such exclusion capabilities. If we determine, in our sole discretion, that you have engaged in any of the foregoing activities or, as the case may be, refused promptly to comply with a request from us to exclude Proprietary Terms from any keyword as mentioned above, we may (without limiting any other rights or remedies available to us) withhold any referral fees otherwise payable to you under this Agreement and/or terminate this Agreement. Notwithstanding the foregoing, if there is a dispute with respect to the payment of commission fees, EuromedOnline shall resolve such dispute in its sole discretion, acting reasonably. If this Agreement terminates because you have violated the terms of this Agreement, you will not be eligible to receive any payments, including any payments earned prior to termination. ORDER PROCESSING EuromedOnline will be solely responsible for processing every order placed by customers from links on the Affiliate site in accordance with applicable legal requirements. We reserve the right to reject orders that do not comply with any reasonable requirements that we periodically may establish. We will be responsible for all aspects of order processing and fulfillment, including but not limited to, preparing orders forms; processing payments, cancellations, and returns; and handling customer service. We reserve the right to reject any order that does not comply with our rules, operating procedures and policies. If you become a member of the Affiliate Program, you will be given a password so that you may enter the secure site Affiliate Interface, located at http://www.linkconnector.com. From this site you will be able to receive your sales statistics, reports, and other information. Your commission will be based on the reports you may access at the Affiliate Interface. You agree that such reports will be the final, determinative measurement of the Leads and Sales for which commissions will be calculated. PRICES AND AVAILABILITY Prices and availability of our medicines / other products may vary from time to time. EuromedOnline policies will always determine the price paid by the customer. You will earn Referral Fees based on the sale price of EuromedOnline products, according to fee schedules to be established by us. “Sale price” means the cost listed on the EuromedOnline site and excludes costs for shipping, handling, rebates, and taxes. All percentages listed are of "Gross Receipts” for those sales of EuromedOnline products via a link from your Site(s). "Gross Receipts" shall mean the (a) revenues generated by all initial sales of EuromedOnline products to those customers who (i) "clicked" a Link from your Site during the term of this Agreement, and (ii) then purchased EuromedOnline product(s) via our shopping cart, less (b) refunds, returns, creditcard fees and chargebacks and shall not include costs or revenues associated with sales taxes and shipping and handling. Gross Receipts shall not include any other sale or service which EuromedOnline subsequently makes to such customer. WEBSITE LINKS AND RESTRICTIONS EuromedOnline reserves the right not to accept any site into the EuromedOnline Affiliate Program based on site content. Sites that do not qualify for the EuromedOnline Affiliate Program may include, but are not limited to, sites that: - Promote sexually explicit materials; - Promote violence and discord; - Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age; - Promote illegal or questionable activities; - Include “EuromedOnline” or any other trademark of EuromedOnline Limited or its affiliates, or variations or misspellings of any of them in their URLs to the left of the top-level domain name (eg., .com, .net, .uk, etc) - Violate intellectual property rights; or - Promote any type of objectionable material, as we, in our sole discretion, may determine. We grant you a revocable, non-exclusive, worldwide, royalty-free license for the duration of the term of this Agreement, solely for purposes of facilitating referrals from your site to the EuromedOnline.com Site, to provide on your site links to the EuromedOnline.com Site. You will be able to download HTML code and graphics from the Affiliate Interface at LinkConnector. For commission fees to be properly tracked, recorded and earned, you must ensure that each of the links between your site or your Programs and our site contain the link formats found within the LinkConnector site. We will not be liable to you for any lost commissions resulting from your failure to use appropriate links. You also agree that those graphic images that you display pertaining to the EuromedOnline Site, for use as a link or otherwise, will only be graphic images that we provide to you from the Affiliate Interface. If we update those graphics, you agree to immediately replace our old graphics with the new ones. We have the right, in our reasonable discretion, to monitor your site and Programs to ensure that your links to the EuromedOnline Site are appropriate. If we decide, in our sole discretion, that your links to the EuromedOnline Site are not appropriate, then we may either notify you of any changes that we feel should be made, or we may terminate this Agreement upon notice to you. If we notify you of changes we desire you to make to your site or Programs and such changes are not made immediately, then we may terminate this Agreement upon notice to you. You agree that upon our termination of this Agreement you will immediately remove all links to the EuromedOnline Web Site from your web site or Programs and all licenses granted hereunder shall terminate. You expressly agree to abide by all of the terms and conditions of use related to each of the EuromedOnline Sites, including the Affiliate Interface. OWNERSHIP OF EUROMEDONLINE SITE AND USER INFORMATION Except for the license granted under Website Links and Restrictions, you do not obtain any rights under this Agreement in any intellectual property, including, without limitation, any intellectual property with respect to the links, link formats, technical specifications, guidelines or graphical artwork referenced above, or with respect to the EuromedOnline.com domain name. EuromedOnline owns all intellectual property rights (including, without limitation, all copyrights, patents, trademarks and trade secrets) in connection with and in all version of the EuromedOnline Site. You agree that customers who are referred by or purchase medication from your web site or Programs through the EuromedOnline Affiliate Program ("Users") will be considered customers of EuromedOnline, and EuromedOnline will own all information generated by such Users. You agree that all EuromedOnline rules, policies and operating procedures (including but not limited to policies relating to User personal identification information, customer orders, customer service, order confirmation and order fulfillment) will apply to such Users. EuromedOnline reserves the right to change such rules, policies and operating procedures at any time. SEARCH ENGINE KEYWORDS We reserve all rights in our trade names and trademarks; therefore you agree not to purchase keywords including, but not limited to, EuromedOnline, EuromedOnline.com, EuromedOnline, Ltd. and EuromedOnline, Limited from any third party without the expressed written consent of EuromedOnline. RESPONSIBILITY FOR YOUR SITE You will be solely responsible for the development, operation, and maintenance of your site and for all materials that appear on your site. For example, you will be solely responsible for: - The technical operation of your site and all related equipment - Creating and posting Product descriptions on your site and linking those descriptions to the EuromedOnline.com Site catalog - The accuracy and appropriateness of materials posted on your site (including, among other things, all Product-related materials) - Ensuring that materials posted on your site do not violate or infringe upon the rights of any third party (including, for example, copyrights, trademarks, privacy, or other personal or proprietary rights) - Ensuring that materials posted on your site are not libelous or otherwise illegal - Ensuring that your site accurately and adequately discloses, either through a privacy policy or otherwise, how you collect, use, store, and disclose data collected from visitors, including, where applicable, that third parties (including advertisers) may serve content and/or advertisements and collect information directly from visitors and may place or recognize cookies on visitors' browsers. - We disclaim all liability for these matters. Further, you will indemnify and hold us harmless from all claims, damages, and expenses (including, without limitation, attorneys' fees) relating to the development, operation, maintenance, and contents of your site. IDENTIFYING YOURSELF AS AN AFFILIATE We encourage (but do not require) you to include a link on your site to EuromedOnline. We will provide, through Link Connector, text links and graphic images that identifies your site as a participant in the Program. We may modify these creative or notice from time to time. In addition, you may not in any manner misrepresent or embellish the relationship between us and you, or express or imply any relationship or affiliation between us and you or any other person or entity except as expressly permitted by this Agreement (including by expressing or implying that EuromedOnline supports, sponsors, endorses or contributes money to any charity or other cause). We may identify you or your Site as a participant in the Program without providing you prior notice or obtaining your specific written consent. Such identification may be oral, written, or electronic, and may include, but is not limited to, public announcements, promotional materials, internal and external reports, and public filings. With the exception of identifying yourself as an affiliate of our Site, you shall not create, publish, distribute, or permit any written material that makes reference to us without first submitting such material to us and receiving our prior written consent, which may be given or withheld in our sole discretion. SPAM, POP-UPS and SPYWARE EuromedOnline does not participate in unsolicited e-mailing nor other forms of indiscriminate advertising (commonly referred to as spamming). All Affiliates are expected to adhere to local and federal laws with regards to distributing emails. Affiliates agree not to use forms of advertising that can damage the EuromedOnline brand name. This may include, but is not limited to, the use of unsolicited commercial e-mail (UCE), postings to non-commercial newsgroups and cross-posting to multiple newsgroups at once. In addition, Participants may not advertise in any way that effectively conceals or misrepresents their identity, their domain name or their return e-mail address. Mailings are acceptable only as long as the recipient has directly consented to receive such communication from Affiliate or Affiliate has a pre-existing business relationship with the recipient. In addition, Affiliate agrees to provide a recipient of such communication with the ability to “opt out” of further communications from Affiliate either by calling a toll free number or by sending an “unsubscribe” email to Affiliate. Newsgroup postings are acceptable only in newsgroups that specifically welcome commercial messages; when in doubt, consult the newsgroup FAQ or moderators to be sure that such a message is acceptable in that newsgroup. Participants must also clearly represent themselves and their web sites as independent entities from EuromedOnline. In any forum or media, Participants are expected to honor the advertising practices and restrictions that are commonly considered acceptable by its readers. Failure to honor this code of conduct can result in immediate termination of a Affiliate's account as well as forfeiture of commissions gained through such activity. Do Not Divert EuromedOnline visitors. You agree that you will not employ any technology, including, but not limited to, pop-ups, pop-unders and pop-overs, to serve messages to customers on the EuromedOnline website or on EuromedOnline-branded pages on a third-party website, designed to divert shoppers away from the site they are currently on. Additionally, you will not employ any technology that forcefully redirects a customer away from the EuromedOnline website or a EuromedOnline-branded page on a third-party website. You agree not to use Spyware in any of your marketing activities, as EuromedOnline considers Spyware to be a threat to consumer privacy. "Spyware" refers to types of marketing software programs that collect information about consumers’ Internet activities and share that information with a third party, often without the users’ consent or knowledge. Spyware may gather personally identifiable information, such as e-mail addresses and credit card information, and may even alter personal computer settings. Violation of this policy will result in the termination of this Agreement and immediate dismissal from the EuromedOnline Affiliate Program. DISCLAIMER We make no express or implied warranties or representations with respect to the EuromedOnline Affiliate Program or your potential to earn income therefrom. In addition, we make no representation regarding the EuromedOnline Site or its performance, availability or functionality. Any implied warranties of merchantability, fitness for a particular purpose, and non-infringement from EuromedOnline are expressly disclaimed and excluded. Further, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions, errors or down time. REPRESENTATIONS AND WARRANTIES You hereby represent and warrant to us as follows: 1. This Agreement has been duly and validly agreed to and accepted by you and constitutes your legal, valid, and binding obligation, enforceable against you in accordance with its terms. 2. The execution, delivery, and performance by you of this Agreement and the consummation by you of the transactions contemplated hereby will not, with or without the giving of notice, the lapse of time, or both, conflict with or violate (i) any provision of law, rule, or regulation to which you are subject, (ii) any order, judgment, or decree applicable to you or binding upon your assets or properties, (iii) any provision of your by-laws or certificate of incorporation, or (iv) any agreement or other instrument applicable to you or binding upon your assets or properties. 3. Your are the sole and exclusive owner of your trademarks and have the right and power to grant to us the license to use your trademarks in the manner contemplated herein, and such grant does not and will not (i) breach, conflict with, or constitute a default under any agreement or other instrument applicable to you or binding upon your assets or properties, or (ii) infringe upon any trademark, trade name, service mark, copyright, or other proprietary right of any other person or entity. 4. No consent, approval, or authorization of, or exemption by, or filing with, any governmental authority or any third party is required to be obtained or made by you in connection with the execution, delivery, and performance of this Agreement or the taking by you of any other action contemplated hereby. 5. There is no pending or, to the best of your knowledge, threatened claim, action, or proceeding against you, or any affiliate of yours, with respect to the execution, delivery, or consummation of this Agreement, or with respect to your trademarks, and, to the best of your knowledge, there is no basis for any such claim, action, or proceeding. 6.You will comply with all applicable local, state and federal laws, statutes, orders, ordinances and regulations relating to performance of the Program. 7.You are an adult of at least 18 years of age. CONFIDENTIALITY Except with the consent of the other party, each party agrees that all information concerning the other party, including, without limitation, the terms of this Agreement, business and financial information, customer and vendor lists, and pricing and sales information, will remain confidential and will not be utilized, directly or indirectly, by such party for any purpose except and to the extent (a) necessary to complete obligations under this Agreement or (b) that any such information is known or available to the public through a source or sources other than such party or any affiliate of such party. INDEMNITY You hereby agree to fully indemnify, defend and hold harmless EuromedOnline Limited and its respective officers, directors, employees and agents and corporate affiliates (each, an “Indemnified Party”, from and against any and all actions, causes of action, suits, duties, debts, claims, demands, interest, penalties, liability or other proceedings which may at any time hereafter be suffered or incurred by the Indemnified Party arising out of or based upon any claim (i) that the use of any material provided by you infringes on any copyright, patent, trademark, trade secret or any other intellectual property or other right of any third party, (ii) resulting from your breach of this Agreement, or (iii) related to your web site or Programs, including, without limitation, content therein not attributable to us. You will pay any and all costs, damages, and expenses, including, but not limited to, reasonable attorneys' fees and costs awarded against or otherwise incurred by the Indemnified Party in connection with or arising from any such claim, suit, action, or proceeding. GENERAL 1. Each party will, at all times, be deemed to be an independent contractor with respect to the subject matter of this Agreement, and nothing contained in this Agreement will be deemed or construed in any manner as creating any partnership, joint venture, employment, agency, fiduciary or other similar relationship 2. You may not assign your rights or obligations under this Agreement to any party 3. You understand that we may at any time, directly or indirectly, engage in similar arrangements on terms that may differ from those contained in this Agreement, or we may operate web sites that are similar to or compete with your web site and Programs 4. This Agreement is governed by and interpreted in accordance with the laws of the home state of EuromedOnline. Any Action relating to this Agreement must be bough in the federal or state courts located in the home state of EuromedOnline, an you irrevocably consent to the exclusive jurisdiction of such courts. 5. Except as otherwise permitted by this Agreement, no amendment to this Agreement or waiver of any right or obligation created by this Agreement will be effective unless it is in writing and signed by both you and us. Our waiver of any breach or default will not constitute a waiver of any different or subsequent breach or default 6. This Agreement represents the entire agreement between EuromedOnline and you and supersedes all prior agreements and communications we may have had with respect to the subject matter hereof, oral or written 7. Neither party will be liable for failure to perform or delay in performing any obligation under this Agreement if such failure or delay is due to fire, flood, earthquake, strike, war (declared or undeclared), commercial impracticability, embargo, blockade, legal prohibition, governmental action, riot, insurrection, damage, destruction or any other cause beyond the reasonable control of such party 8. If any provision of this Agreement is held to be invalid, illegal or unenforceable for any reason, such invalidity, illegality or unenforceability will not affect any other provisions of this Agreement, and this Agreement will be construed as if such invalid, illegal or unenforceable provision had never been contained herein 9. The headings and titles contained in this Agreement are included for convenience only, and will not limit or otherwise affect the terms of this Agreement. By submitting the Affiliate Application form, you acknowledge that you have read this Agreement and agree to all its terms and conditions. You understand that we may at any time (directly or indirectly) solicit customer referrals on terms that may differ from those contained in this Agreement or operate Sites that are similar to or compete with your Site. You have independently evaluated the EuromedOnline Affiliate Program and this Agreement and are not relying on any representation, guarantee, or statement from us or anyone else, other than as expressly set forth in this Agreement. I accept the Affiliate Program Agreement.
